Agreement to These Terms

These Terms of Service are an agreement between you and FLDWRK Coffee LLC DBA Zero Carbon Coffee ("Zero Carbon Coffee," "we," "us"). They apply when you place an order, start a subscription, or otherwise use our services. You accept them by ticking the box at checkout or by continuing to use the service. They work alongside two other documents: our Privacy Policy, which covers what we do with your information, and our Terms of Use, which sets the rules for using the site itself. Together the three are the whole agreement. If you do not agree to these Terms, please do not use our services.

Who You Are Buying From

You probably arrived through a partner's storefront — a nonprofit, business, or creator that has partnered with us and put their brand on the shop. Your contract for the coffee is with us, not with them. Zero Carbon Coffee sources and roasts the coffee, takes the payment, fulfills and ships the order, and handles support. The partner brands the storefront and earns a share of what is sold through it. When these Terms say "we," they mean Zero Carbon Coffee.

Eligibility and Your Account

Eligibility

You must be at least 18 years old and able to enter a binding contract to buy from us. By placing an order you confirm that you are.

Your Account

You may create an account during checkout, even if you do not complete a purchase. Your account lets you manage subscriptions and orders. You agree to give us accurate information and to keep it current — particularly your email address, since that is how we tell you about renewals and payments.

Account Security

You are responsible for your password and for activity under your account. Tell us promptly at support@zerocarbon.coffee if you believe someone else has access to it. Resetting your password signs out every existing session.

Orders

An order you place is an offer to buy, which we may accept or decline. We may decline or cancel an order — including after it is placed — where a product is unavailable, where a price or description was wrong, or where we suspect fraud. If we cancel an order you have already paid for, we refund it. Our coffees rotate. The specific coffee available on a given storefront can change between one order and the next, and we will describe what you are getting at the time you order it.

Subscriptions

How Renewals Work — Please Read This Part

A subscription renews automatically. When you start one, you authorize us to charge your saved payment method on a recurring basis, without you present, until you cancel. Specifically:

  • You choose a delivery interval when you subscribe — weekly, every four weeks, and every eight weeks are typical, and the intervals we offer may change.
  • We charge a renewal on or around the date your subscription comes due. We do not guarantee the exact day or time of a charge, and our billing schedule may change.
  • We currently hold the price of the coffees on a subscription at what it was when you started it, even when our list prices change. That is our present practice rather than a guarantee, and if we ever change the price of a running subscription we will tell you before the change takes effect.
  • We email you a reminder with the amount before each renewal is charged, so a charge should never be a surprise.
  • If several of your subscriptions come due together, we combine them into a single charge.
  • Shipping is charged at the rate the storefront has set, with free shipping above its threshold. Orders you pick up are never charged shipping.

Changing, Pausing, and Cancelling

You can change, pause, skip, or cancel a subscription from your account settings at any time, and you can also ask us to do any of it for you at support@zerocarbon.coffee. A change takes effect on the next renewal that has not already been charged. Once a renewal has been charged and the order has gone into fulfillment, that order ships; cancelling stops the renewals that come after it. Cancelling does not, by itself, entitle you to a refund of a charge already made — see “Refunds and Returns” below.

If a Payment Fails

If a renewal charge fails, we notify you and retry it a limited number of times. If payment remains unsuccessful, we suspend the subscription rather than cancelling it: nothing ships, but the subscription and its pricing are preserved. Service can resume once the payment issue is resolved. This may involve updating your payment method, retrying a payment, or completing verification required by your bank. Follow the recovery options provided in your account or contact us for help.

Discount Codes

Discount codes may be limited by date, by quantity, by storefront, by minimum purchase, or to one use per customer, and we may withdraw a code at any time. Where a code applies to a subscription, we re-check its validity at each renewal, so an expired or withdrawn code stops applying to future orders.

Prices, Taxes, and Shipping

All prices are in U.S. dollars, and we may change them at any time. Our present practice is to hold the price of a running subscription at what you signed up for, and if that ever changes we will give you notice before it takes effect so you can decide whether to continue. Each storefront sets its own shipping rate and its own free-shipping threshold, both of which are shown to you before you pay. Pickup orders are not charged shipping. We do not currently charge sales tax on whole-bean coffee, because it is exempt as a grocery item where we sell. That is a statement of current practice, not a promise about your tax liability, and it may change if the law or our operations do.

Delivery and Pickup

Shipping

We roast to order and aim to have your coffee on its way within a few business days of the order. Delivery estimates are estimates, not guarantees, and once a parcel is with the carrier its timing is out of our hands. Where the carrier provides tracking, we will pass it on to you. Risk of loss passes to you on delivery to the address you gave us — so please make sure that address is right, since we cannot redirect a parcel after it ships.

Pickup

Where a storefront offers pickup, we will let you know when your order is ready and where to collect it. Pickup hours and location are set by the pickup location, not by us.

Refunds and Returns

Coffee is a perishable food product, so we do not accept returns of opened coffee. If something is wrong — the order did not arrive, it arrived damaged, it was the wrong item, or the coffee was not right — tell us at support@zerocarbon.coffee and we will make it right, whether by replacing the order or refunding it. Refunds go back to the payment method that was charged. Two things worth knowing. A refund does not by itself cancel a subscription, so if you want the subscription stopped as well, tell us and we will stop it. And once an order is in fulfillment we may not be able to hold it — tell us as early as you can and we will try, but the coffee may already be on its way, and a refund is what we can always do.

Payment Disputes

If a charge looks wrong to you, please contact us at support@zerocarbon.coffee before disputing it with your bank. Almost everything is faster to fix directly, and we would rather fix it than argue about it. Where a dispute is resolved against you, we may suspend your subscriptions and decline future orders.

Acceptable Use

Our Terms of Use set out how you may use our websites and what is off limits. They are incorporated into this agreement, and breaking them breaks these Terms.

Intellectual Property

Our Content

The platform, our software, our photography, our product descriptions, and our own brand belong to us or to our licensors. Nothing in these Terms transfers any of it to you.

Partner Branding

A partner's name, logo, colors, and copy belong to that partner. They are licensed to us to run their storefront, not to you.

What You Send Us

If you send us feedback, a support message, or a suggestion, you give us permission to use it to run and improve the service, without obligation to you. Please do not send us anything you consider confidential.

Suspension and Termination

We may suspend or close an account, cancel an order, or end a subscription where you have broken these Terms or the Terms of Use, where we suspect fraud or payment abuse, or where we are required to by law. Where the circumstances allow it, we will tell you why and give you a chance to put it right. You may stop at any time by cancelling your subscriptions and, if you want the account closed, asking us at support@zerocarbon.coffee. Anything that by its nature should survive the end of this agreement — payment obligations already incurred, the disclaimers, the liability cap, indemnification, and the dispute terms — survives it.

Disclaimers

Provided As Is

Except where the law does not allow it, our services are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error free.

Food, Allergens, and Freshness

Our coffee is roasted, packed, and shipped in a facility that handles coffee and may handle other food products. If you have an allergy, please contact us before ordering. Coffee is at its best within weeks of roasting; we roast to order so that it reaches you fresh, but we make no warranty about how it will taste to you.

Limitation of Liability

To the fullest extent permitted by law, neither we nor our suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to your use of our services, whatever the theory of liability. To the fullest extent permitted by law, our total liability arising out of or relating to these Terms or our services will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars. Some jurisdictions do not allow these limits, in which case they apply to you only as far as the law allows.

Indemnification

You agree to indemnify and hold harmless Zero Carbon Coffee, its officers, employees, and partners from any claim, loss, liability, or expense — including reasonable legal fees — arising out of your breach of these Terms, your misuse of our services, or your violation of any law or the rights of another.

Governing Law and Disputes

This is the only place in our agreements where governing law and dispute resolution are set. The Terms of Use and the Privacy Policy do not contain separate terms on either subject.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

Resolving a Dispute

Please contact us first at legal@zerocarbon.coffee. Most disputes are resolved that way, and we would rather resolve yours than litigate it. If we cannot resolve it informally, the courts located in Orange County, California will have exclusive jurisdiction, and you and we each consent to their jurisdiction and venue. Nothing here prevents either of us from bringing a claim in small claims court, or from seeking injunctive relief to protect intellectual property.

Changes to These Terms

We may update these Terms. The effective date at the top of this page reflects the current revision. If a change is material we will give notice before it takes effect — by email or on the site — and for an active subscription, a material change takes effect no earlier than your next renewal. Continuing to use our services after a change takes effect means you accept it.

General

Entire Agreement

These Terms, together with the Privacy Policy and the Terms of Use, are the entire agreement between you and us about our services, and replace anything said or written before.

Severability

If any provision is held unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force.

No Waiver

If we do not enforce a provision, that is not a waiver of it, and we may still enforce it later.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Notices

We send notices to the email address on your account, so please keep it current. You send notices to us at the address at the end of this document.
